The Company provides services including but not limited to:

• Hosting Services
• Website Maintenance & Technical Support
• SEO & Digital Marketing Services
• UI/UX Design
• E-Commerce Development
• API Integrations
• Cloud & Server Solutions
• Branding & Digital Consultancy

The Company reserves the right to refuse service requests that violate applicable laws, regulations, ethical standards, or Company policies.

Any:

• Quotation approval
• Invoice payment
• Project confirmation
• Email confirmation
• Purchase order
• Verbal approval
• Online payment
• Or continued use of services

shall constitute full acceptance of these Terms and Conditions. These Terms form a legally binding agreement between the Client and Perfect Solution International (PVT) LTD.

All clients obtaining website development, hosting, maintenance, management, or related digital services agree to remain under the Company's service for a minimum contractual period of:

This includes:

• Hosting
• Technical management
• Domain management
• Maintenance
• Security management
• Monitoring
• And support services

All invoices issued by the Company must be paid within the agreed payment period. Failure to make timely payment may result in:

• Suspension of services
• Website downtime
• Removal of access
• Delayed project delivery
• Withholding of credentials
• Legal recovery action
• Or permanent termination of services

The Company reserves the right to charge late payment fees, recovery charges, legal expenses, administrative fees, and collection costs arising from overdue accounts.

Unless expressly agreed in writing, all payments made to Perfect Solution International (PVT) LTD are non-refundable. This includes payments for:

• Development
• Hosting
• Consultation
• Maintenance
• Software licensing
• Setup charges
• Domain registrations
• Digital marketing
• And related services

All source codes, frameworks, software architectures, designs, graphics, UI/UX structures, databases, APIs, custom systems, documentation, technical implementations, and proprietary technologies developed by Perfect Solution International (PVT) LTD remain the intellectual property of the Company unless otherwise agreed in writing.

The Client receives only the agreed usage rights subject to full payment and contractual compliance.

All websites, systems, and applications developed by Perfect Solution International (PVT) LTD shall contain the attribution line:

"Copyright © All rights reserved | Design by Perfect Solution International (PVT) LTD."

This attribution forms part of the Company's intellectual property and branding rights. Removal, concealment, alteration, or replacement of this attribution without written authorization is strictly prohibited. If the Client requests authorized removal, a non-refundable fee of Rs. 20,000.00 (Sri Lankan Rupees Twenty Thousand Only) shall apply. Unauthorized removal may result in legal proceedings, intellectual property claims, suspension of services, or compensation recovery action.

Where the Client requests transfer of a domain name to another registrar or provider, the following conditions shall apply.

The transfer of source code, website files, databases, hosting environments, backend systems, credentials, APIs, designs, or complete website ownership shall be treated as a full ownership and migration transfer.

No domain transfer, ownership release, source code release, website migration, hosting migration, credential release, or backend access transfer shall occur unless:

• All invoices are fully paid
• Transfer fees are settled
• And written approval is issued by the Company

The Company reserves the right to delay, reject, or suspend any transfer request until all contractual obligations are satisfied.

Until full settlement of invoices, transfer fees, contractual obligations, and applicable charges, Perfect Solution International (PVT) LTD retains administrative, operational, and commercial control over:

• Hosting environments
• Systems
• Source codes
• Domains managed by the Company
• And technical infrastructures

The Client agrees to:

• Provide accurate information
• Cooperate during development
• Provide approvals within reasonable timelines
• Comply with all laws
• Maintain lawful website content
• And avoid misuse of services

The Client is solely responsible for all content uploaded, published, or transmitted through their website or systems.

Clients are strictly prohibited from using Company services for:

• Illegal activities
• Hacking
• Phishing
• Malware distribution
• Fraud
• Gambling where unlawful
• Adult or explicit content
• Money laundering
• Intellectual property infringement
• Harassment
• Terrorism-related activities
• Or any unlawful conduct under Sri Lankan or international law

The Company reserves the right to immediately suspend services and cooperate with law enforcement authorities where necessary.

While reasonable security measures are implemented, the Company does not guarantee absolute protection against:

• Hacking
• Cyberattacks
• Malware
• Ransomware
• Data breaches
• Internet failures
• Or third-party infrastructure failures

The Client acknowledges that all internet-based services carry inherent cybersecurity risks.

The Client remains responsible for maintaining independent backups of all website content, databases, emails, and digital assets unless otherwise agreed in writing.

The Company does not guarantee search engine rankings, business growth, traffic levels, revenue increases, or specific marketing outcomes unless explicitly agreed in a separate written agreement.

The Company may utilize third-party providers including hosting providers, cloud infrastructure providers, domain registrars, APIs, plugins, payment gateways, and software vendors.

The Company shall not be liable for interruptions, policy changes, pricing changes, or failures caused by third-party services.

Both parties agree to maintain confidentiality regarding business information, credentials, financial information, project materials, technical documentation, and proprietary information.

This obligation survives termination of services.

To the maximum extent permitted by law, Perfect Solution International (PVT) LTD shall not be liable for:

• Indirect losses
• Consequential damages
• Business interruption
• Loss of profits
• Reputational damage
• Data loss
• Or third-party claims

The Company's maximum aggregate liability shall not exceed the total amount paid by the Client for the relevant service.

The Company shall not be liable for delays or failures caused by events beyond reasonable control including:

• Natural disasters
• Cyber incidents
• War
• Terrorism
• Internet outages
• Strikes
• Pandemics
• Governmental actions
• Or infrastructure failures

The Company reserves the right to suspend or terminate services immediately without prior notice where:

• Payments remain overdue
• Abusive conduct occurs
• Unlawful activities are detected
• Reputational harm is caused
• Or contractual breaches occur

Clients accessing services from outside Sri Lanka are responsible for ensuring compliance with the laws and regulations applicable within their own jurisdictions.

The Company makes no representation that its services are compliant with all foreign legal requirements.

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, applicable international intellectual property principles, and internationally recognized electronic commerce practices where relevant.

Any disputes arising from these Terms or related services shall be subject exclusively to the jurisdiction of the courts of Sri Lanka.

If any provision of these Terms is found unenforceable or invalid under applicable law, the remaining provisions shall remain fully enforceable.

The Company reserves the right to modify, amend, or update these Terms at any time without prior notice.

Continued use of the website or services constitutes acceptance of updated Terms.

These Terms constitute the entire agreement between the Client and Perfect Solution International (PVT) LTD regarding the services provided and supersede all prior communications or understandings.
